1. Introduction & Eligibility

Welcome to Goaly ("we," "our," or "us"), operated at goaly.tech. By creating an account, accessing, or using our website, applications, AI advisory integrations, and gamified financial tracking services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

To use Goaly, you must be at least 18 years of age and possess the legal authority to enter into a binding contract. The Services are designed primarily for self-employed individuals, independent contractors, freelancers, and gig economy workers.

2. User Accounts & Security

To unlock Goaly's tracking ledgers, calendar, and AI advisor, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

You are solely responsible for maintaining the confidentiality of your account credentials (including password and session cookies) and for all activities that occur under your account. You agree to:

  • Enable Two-Factor Authentication (2FA) via SMS, email, or authenticator app for enhanced account security.
  • Immediately notify support@goaly.tech of any unauthorized use or security breach.
  • Ensure that you exit/log out of your account at the end of each session when using shared devices.

3. Accountability Staking Rules

Goaly offers a unique, gamified commitment mechanism called "Accountability Staking" to help users achieve their financial targets. By placing an accountability stake, you agree to the following contract rules:

CRITICAL GAMIFIED CONTRACT WARNING:

Staking involves committing Goaly Points (GP) or designated stake metrics to a weekly earnings target (e.g., earning $600 between Monday 00:00 and Sunday 23:59).

If you meet or exceed your weekly target and log it successfully, you recover 100% of your committed stake. If you fail to meet your target, or fail to log it within the designated verification window, your committed stake is **forfeited** and distributed to the global community pool or platform operations.

Stakes are committed autonomously and instantly upon your submission. Once a weekly cycle has commenced, stakes **cannot be cancelled, reversed, refunded, or modified** under any circumstances. Goaly is not responsible for technical outages, client-side internet failures, or gig platform delays that prevent you from logging earnings before the weekly deadline.

4. AI Co-Pilot & Financial Disclaimer

Goaly provides an interactive "AI Co-Pilot Advisor" powered by custom financial large language models. The AI assists in parsing invoices, scanning receipt images (via Vision OCR), categorizing transactions, and flagging potential business tax write-offs (e.g., Schedule C deductions).

TAX & FINANCIAL COACHING DISCLAIMER:

The AI Co-Pilot Advisor is an automated cognitive engine. It is **NOT** a Certified Public Accountant (CPA), a certified financial planner, a tax attorney, or a registered investment advisor. Goaly does not provide formal legal, tax, or financial advice.

Any deductions flagged or suggestions generated by the AI are for educational and informational purposes only. You are solely responsible for verifying the accuracy of all tax write-offs, expense categorizations, and revenue calculations before submitting reports to the Internal Revenue Service (IRS) or any local tax authority.

We assume no liability or responsibility for penalties, audits, interest, or losses resulting from your reliance on the AI Co-Pilot's calculations, categorization, or recommendations.

5. Subscriptions & Billing

Goaly offers both a free basic service tier and a premium paid tier ("Pro Elite" / "Professional Co-Pilot") billed at $25 per month.

  • Billing: Subscription fees are billed in advance on a recurring monthly basis and are processed via secure third-party payment gateways.
  • Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your Billing dashboard before the renewal date.
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain premium access until the end of your current billing period.
  • Price Adjustments: We reserve the right to modify subscription pricing. Any price changes will be communicated at least 30 days in advance.

6. Intellectual Property Rights

All right, title, and interest in and to the Services, including our software, user interface design, logos, trademarks, database schemas, text, algorithms, and AI parsing frameworks, are the exclusive property of Goaly and its licensors.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or business bookkeeping needs. You agree not to copy, reverse engineer, modify, decompile, or distribute any portion of our intellectual property.

7. Limitation of Liability

TO the maximum extent permitted by law, Goaly, its officers, employees, and agents shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of Goaly Points (GP), financial losses from tax filings, audits, penalties, or damages resulting from the use or inability to use our Services.

In no event shall our total aggregate liability for all claims related to the Services exceed the total amount of subscription fees paid by you to Goaly during the three (3) months immediately preceding the event giving rise to liability.

8. Governing Law & Dispute Resolution

These Terms and your relationship with Goaly shall be governed by and construed in accordance with the laws of the jurisdiction in which the company is registered, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation or breach, shall be resolved exclusively through binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. Class action arbitrations and class actions are strictly prohibited under these Terms.
